Terms and Conditions

eCalm Terms and Conditions Policy 

Effective Date: May 5, 2025

This Terms and Conditions (“Agreement”) governs your use of eCalm’s online services. By subscribing to or using eCalm, you agree to comply with and be bound by the terms set out below. Please read this Agreement carefully.

1. Definitions

  • “eCalm,” “we,” “us,” or “our” refers to the online software company providing services to wine businesses.
  • “Customer,” “you,” or “your” refers to the business entity subscribing to eCalm’s services.
  • “Service(s)” refers to the features and functionalities provided under the selected subscription tier.

2. Service Description and Tiers

eCalm offers two subscription tiers to eligible premium small and medium wine businesses:

3. Subscription, Fees, and Payment

  • Subscriptions are billed monthly in advance.
  • Fees are non-refundable except as required by law or expressly stated in this Agreement.
  • eCalm reserves the right to change pricing with at least 30 days’ notice to subscribers.


4. Account Registration and Responsibilities

  • You must provide accurate and complete information during registration and keep it updated.
  • You are responsible for all activity under your account.
  • Sharing login credentials outside your organization is prohibited.


5. License and Acceptable Use

  • eCalm grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
  • You may not reverse-engineer, resell, or use the Service for unlawful purposes.


6. Service Availability and Support

  • eCalm aims for continuous service availability but does not guarantee uninterrupted or error-free operation.
  • Tier 2 subscribers receive 24/7 customer support and complimentary onboarding. Tier 1 subscribers have standard email support during business hours.


7. Intellectual Property

  • All intellectual property rights in the Service, including software, content, and trademarks, remain with eCalm or its licensors.
  • You may not use eCalm branding without prior written consent.


8. Termination

  • Either party may terminate the subscription with 30 days’ written notice.
  • eCalm may suspend or terminate your access immediately for breach of this Agreement or unlawful use.
  • Upon termination, access to the Service and data may be revoked.


9. Limitation of Liability

  • The Service is provided “AS IS” and “AS AVAILABLE.” eCalm disclaims all warranties to the extent permitted by law.
  • eCalm’s liability is limited to the amount paid by you in the preceding three months for the service.

10. Changes to Terms

  • eCalm may update these Terms at any time. Notice of material changes will be provided via email or through the Service. Continued use constitutes acceptance of the revised Terms.


11. Governing Law and Dispute Resolution

  • This Agreement is governed by the laws of the State of [Your State/Country].
  • Disputes will be resolved through binding arbitration or the courts of [Your State/Country], as determined by eCalm.
